These Terms of Service ("Terms") govern your purchase and use of the TrueEars Windows desktop application ("the Software"). The Software is developed and sold by Agenza Labs LLC ("we", "us", "our"), a limited liability company registered in Wyoming, USA.

Purchases are processed by Paddle.com Market Limited ("Paddle"), our authorised reseller and Merchant of Record. When you buy a TrueEars licence, your contract of sale is with Paddle. These Terms apply to your use of the Software itself.

1. Acceptance of Terms

By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree, do not install or use the Software.

2. The Software

TrueEars is a Windows desktop application for context-aware voice dictation. It detects the active application on your computer and adapts the format and style of transcribed text accordingly. The Software runs locally on your device and uses your own speech-to-text API keys (BYOK tier) or a purchased licence key.

The Software is sold as:

BYOK (Free): Free download. You supply your own API keys (Groq, OpenAI, Anthropic). You pay API providers directly.
Supporter Licence ($29 one-time): A perpetual licence for the Software, including early access to new features and priority support.

3. Licence Grant

Upon purchase of a Supporter Licence, we grant you a personal, non-exclusive, non-transferable, perpetual licence to install and use the Software on your own devices for personal or professional purposes. You may not sublicense, sell, rent, lease, or otherwise transfer the licence or the Software to any third party.

4. Restrictions

You agree not to:

Reverse engineer, decompile, or disassemble the Software
Remove or alter any proprietary notices or labels on the Software
Use the Software for any unlawful purpose
Transmit content through the Software that violates the rights of others
Share or distribute your licence key

5. API Keys & Third-Party Services

The Software sends your audio to third-party speech-to-text providers (such as Groq, OpenAI, or Anthropic) for transcription using API keys you provide or that are bundled with a licence. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices of third-party services.

Your API keys are stored locally on your device. They are never transmitted to our servers.

6. Payment & Merchant of Record

All payments for the Supporter Licence are processed by Paddle, our Merchant of Record. Paddle handles billing, invoicing, and applicable sales tax on our behalf. For payment queries, contact Paddle at paddle.com/help.

7. Refunds

Refunds are governed by our Refund Policy. We offer a 30-day money-back guarantee on the Supporter Licence.

8. Intellectual Property

The Software and all intellectual property rights in it are owned by Agenza Labs LLCand are protected under applicable copyright and other intellectual property laws. These Terms do not transfer any ownership to you.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT TRANSCRIPTION RESULTS WILL BE ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Agenza Labs LLCBE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the effective date above. Continued use of the Software after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Wyoming, USA, without regard to conflict of law principles.
